Astrana Health Completes Acquisition of Prospect Health

Astrana Health has officially closed its $708 million acquisition of Prospect Health, expanding its footprint as a physician-led, technology-enabled healthcare company focused on value-based care.
The transaction, finalized on July 1, brings Prospect’s extensive provider network—spanning over 11,000 physicians across California, Texas, Arizona, and Rhode Island—under the Astrana umbrella. Prospect Health delivers care to approximately 600,000 members across Medicare Advantage, Medicaid, and commercial insurance lines, and operates a range of services including a Knox-Keene licensed health plan, specialty pharmacy, management services organization, and a fully accredited acute care hospital.
Astrana Health, "a physician-centric, AI-powered healthcare company," which supports over 1.6 million patients and 20,000 providers nationwide, stated that the acquisition will further strengthen its capabilities to deliver accessible, high-quality care. Company President and CEO Brandon Sim noted, “Together, we will further accelerate our mission to drive consistent, coordinated, high-quality patient outcomes at scale, ultimately driving greater value across the healthcare ecosystem.”
Originally announced at $745 million, the reduced purchase price of $708 million reflects Astrana’s focus on disciplined capital deployment while maintaining long-term growth potential.
Astrana continues to expect Prospect Health to contribute approximately $1.2 billion in total revenue and $81 million in adjusted EBITDA on a full-year basis, as previously announced. The Company also continues to anticipate realizing between $12 million to $15 million of synergies over the next twelve to eighteen months.
